Com o propósito de conceituar a natureza da relação jurídica entre o administrador e as sociedades anônimas, expõem-se, inicialmente, os centros institucionalizados de poder, suas formas de estruturação e funções desenvolvidas na companhia. Delimita-se, então, a quais desses núcleos de poder as atividades de direção, execução e supervisão ordinárias da atividade corporativa foram atribuídas pela Lei. Caracterizado o administrador, aprecia-se a qualidade na qual este age e produz determinados efeitos com seu comportamento. Para a definição dessa posição ocupada na companhia, afere-se a natureza da atribuição da personalidade jurídica ao ente coletivo e sua independência em face dos membros subjacentes. O vínculo criador dessa posição jurídica, entretanto, não possui fundamento teórico uníssono da doutrina estrangeira, tampouco é consenso entre os doutrinadores brasileiros. Aprecia-se, assim, a adequação dos principais argumentos de cada teoria frente ao ordenamento jurídico pátrio mediante a abordagem dos elementos estruturais do ato de preenchimento de órgão. A modalidade do referido ato é definida pela análise da natureza da eleição, mediante a apreciação da deliberação dos órgãos legitimados, da possibilidade de manifestar a vontade social diretamente a terceiros e de produzir efeitos determinados com autonomia, bem como da função integradora da aceitação, como condição de existência de um negócio jurídico bilateral ou de eficácia de um negócio jurídico unilateral. Por fim, confrontam-se as principais características dessa relação jurídica aos contratos de mandato, de prestação de serviço e de trabalho para possibilitar a verificação de sua adequação típica e a definição de um conceito ao ato de preenchimento de órgão de administração das sociedades anônimas.

Aiming to create the concepts for the nature of the juridical relation between the officer and the joint-stock companies, this work initially exposes the institutionalized power centers, their structures composition and roles developed in the company. In the sequence, the essay outlines to which of those power nuclei the Law has ascribed the ordinary activities of direction, performance and supervision of the corporate activity. After the officer is characterized, the work analyzes the quality under which such officer acts and produces certain effects on his/her behavior. To define such position held with the company, it is verified the nature of the assigning the legal personality to the collective entity and its independence towards the underlying members. The bond creating such legal position, however, does not have unified theoretical ground in the foreign doctrine and neither is it a consensus among the Brazilian teachers. Hence, adequacy of each theorys main arguments is assessed against the countrys legal system by addressing the structural elements in the act of fulfilling the body. ▼ Recently, colleges and universities across the country have created executive level positions responsible for institutional diversity. The origins of this work within higher education lay in the civil rights movements and its consequences for desegregation of higher education. Early diversity officer positions usually resided within student affairs. However, as the responsibilities of these offices have changed, the reporting lines have also changed such that diversity officers are now commonly situated within academic affairs. This exploratory study examines these administrative positions responsible for diversity at southern white institutions. The research takes an in-depth look at how these positions have shifted over time and how people who hold these positions understand their work. This study presents an analysis of nine personal narratives of diversity officers at three predominantly white institutions in Kentucky from the early 1970s to the present. Counterstories, or stories that challenge majority accounts, are used to elicit the experiences of the black diversity officers. The analysis uses critical race theory to begin telling stories that have been muted. Pigeonholing and its relevance to the counterstories of the administrators are discussed to contextualize the administrators’ experiences at predominantly white institutions. The shift in responsibilities and reporting lines and changes in required credentials resulted in tensions, including intraracial tensions, among the diversity officers. Despite the tensions between generations of officers, these administrators shared a common interest in racial uplift. This was evident as they discussed what attracted them to positions responsible for diversity. In the past, scholars writing on black diversity officers suggested that the positions were the result of tokenism; however, administrators holding these positions view themselves and their roles as an opportunity to help others on their educational journeys.

Les intendants militaires constituent une catégorie particulière d’officiers qui s’occupent des besoins de la vie courante du soldat. Ils sont crées en 1815 et remplacent les commissaires des guerres et les inspecteurs aux revues. Leur étude comprend deux parties. La première est destinée à présenter leurs caractéristiques sociales et militaires générales et leur place dans les débats sur l’administration militaire et la communauté militaire. Elle comprend les domaines suivants : - l’origine géographique, - l’âge et le grade au mariage, - la profession des pères et des beaux-pères, - la composition et le montant des dots, - les dossiers de demande d’autorisation de mariage, - les demandes de bourses pour les écoles militaires, - la place de la vie privée dans les appréciations données par leurs supérieurs. - l’origine du recrutement (saint-cyriens, polytechniciens, soldats), - les causes des fins de carrières - les grands évènements de la carrière (entrée dans le corps de contrôle de l’administration, interruptions de service, mutations), - la remise en question de l’intendance militaire au cours des débats sur l’administration militaire après la défaite de1870, et notamment sa place vis-à-vis du commandement, - la place des officiers d’administration et des médecins militaires, - l’image des intendants parmi les autres officiers. ▼ As modern gender movements shift our cultural norms, the literature describing Title IX suggests possibly concerning trends in both hiring and policy. Many university administrations and recent legislation have promoted a defensive, legal-minded and objective approach to handling Title IX cases. Since the April 2011 Dear Colleague Letter, which delivered a mandated timeframe and eased the burden of evidence, the number of cases the Office for Civil Rights have grown significantly. The number of cases continues growing despite huge increases in labor hours and financial resources being diverted to Title IX enforcement. In contrast, research has demonstrated that education, such as bystander training is a proven deterrence to campus sexual assault. By prioritizing investigation and limiting compliance officers legally acceptable options, we have perhaps shifted officers time away from actions which might lead to more positive outcomes including reducing the overall campus-wide criminal incidence frequency. This qualitative case study was designed to explore how higher education compliance officers learn to manage new requirements in a dynamic regulatory environment. The site for the study included private and public colleges and universities in the northeastern part of the U.S. The primary sources of data were in-depth interviews with nineteen Title IX compliance officers supplemented by an extensive review of relevant documents. Key findings that emerged include: (1) A majority of compliance officers defined the need to interpret new regulations with general counsel before communicating resulting changes to stakeholders. (2) All regulators learn through informal learning means; dialogue and critical reflection were universally reported as the most frequent pathways by which regulators made meaning of new regulations. (3) Most compliance officers described sharing information with peers as most helpful to them in completing regulatory tasks. Trends in Title IX compliance hiring and labor hour allocation appear to not address the growing frequency of OCR investigations. Real changes to campus policy, including budget priorities, training and the use of student activists may allow universities to better optimize the money and personal they invest toward Title IX.

O objetivo do presente trabalho consistiu na identificação de elementos valorativos e perceptivos que o Poder Judiciário tem em relação ao agente de segurança penitenciária (ASP), discriminando temas, ênfases e tendências. Para a sua consecução, foram realizadas oito entrevistas semidirigidas com juízes atuantes em Varas de Execução Criminal do Estado de São Paulo. A apresentação do estado da arte demonstrou a pluralidade de ângulos sob os quais a temática relativa aos agentes penitenciários vem sendo estudada. O levantamento bibliográfico revelou ser escassa a literatura sobre a percepção do Poder Judiciário acerca dos ASPs. Foram criadas, a partir das entrevistas realizadas, dez categorias de análise: preparo, papel e formas de atuação do ASP; relacionamento entre os ASPs e o Poder Judiciário; relacionamento entre ASP e preso; relacionamento entre ASP e a direção da unidade prisional em que trabalham; probidade dos ASPs; vulnerabilidade e segurança do ASP no exercício da sua profissão; valorização, por parte do Poder Judiciário, do depoimento do ASP; condições de trabalho do ASP; fatores emocionais relacionados ao trabalho do ASP; impacto do crime organizado na atuação do ASP. Da apresentação e análise dos dados resultaram 18 súmulas analítico-descritivas. No capítulo destinado às conclusões, foram apresentadas as principais contribuições desta pesquisa, as quais consistiram na identificação dos principais temas que premeiam a visão do Judiciário sobre os ASPs e dentro deles as tendências e as ênfases prevalecentes. ▼ This thesis sets out to examine the proposition that Air Marshal Sir George Jones time asChief of the Air Staff (CAS) of the Royal Australian Air force (RAAF) was bothbeneficial and detrimental to the Service but the benefits gained from his time in officeoutweighed the detriment.Sir George Jones served as CAS for nearly ten years (1942 - 1952). This was thelongest continuous appointment of a CAS to date. Jones was CAS for most of theSecond World War and it was during that time that the two events for which he is mostremembered occurred, viz the controversy surrounding his appointment and his ongoingconflict with the RAAF Operational Commander (W.D. Bostock).In order to assess his impact on the RAAF, this thesis describes events and incidentsthat occurred while Jones was CAS. To compile this work, data was drawn fromnumerous sources including: interviews with family members and ex-RAAF personnel;official records maintained by the National Archives of Australia (NAA), the RAAFHistorical Section and the RAAF Museum; Jones personal papers held by familymembers and the Australian War Memorial; and the papers of other RAAF officers andpoliticians held by the RAAF Museum and the National Library of Australia (NLA).Jones wrote a brief autobiography, which (together with other secondary sources) wasused to fill in the gaps.This research shows that Jones time as CAS was far more eventful and filled withmore conflict than he alludes to in his autobiography. He had no say in his appointmentas CAS but his personality did not allow him to make the best of the situation withBostock. Contrary to the views expressed in earlier works, Jones appointment was not amistake but a deliberate move by the Minister for Air.The conclusion reached is that Jones time in office was beneficial to the RAAF. Hepresided over its growth to being the worlds fourth largest air force at the end of theSecond World War. He oversaw its post war demobilisation and was responsible forplanning the Services structure to meet the Australian Governments needs during theearly years of the Cold War.

▼ ENGLISH SUMMARY: This study deals with the development of practical guidelines to enable probation officers to act as expert witnesses in criminal courts and to make appropriate sentence recommendations for juvenile offenders. The motivation for this study is the growing demands that are placed on probation officers to act as sources of scientific information during adjudication processes and to provide the courts with appropriate sentence options for juvenile offenders in the context of the present juvenile crime situation, participatory law and reform in the South African welfare and legal system. A survey was done with reference to an extensive literature review which entails an examination of the functions, knowledge and behaviour of probation officers in criminal courts. Attention was paid to pre-sentence investigations and -reports as well as the testimony of probation officers (as expert witnesses in criminal courts) about these investigations and reports. The contribution of crime-focused social work to the juvenile crime issue was also studied and the expert knowledge that probation officers should have about the social characteristics of the juvenile offender was explained. The requirements and conduct rules for probation officers in criminal courts were stated and the factors and theories that need to be taken into account, when determining sentence recommendations were discussed. Attention was paid to these factors, since social work in criminal courts is practiced in a secondary set-up and has to contribute to the actualization of the primary aim of the criminal court, namely fair sentencing. The role of probation officers in the sentencing of juvenile offenders was evaluated by magistrates in the Cape Peninsula. The advisory and executive role of probation officers in criminal courts were confirmed. In addition to knowledge of forensic social work, probation officers need to have legal knowledge. In determining sentence recommendations, they need to take into account the same aspects as judicial officials and apply the principles upon which the allotment of punishment is based. The sentence recommendation is a result of the conclusions of the. presentence investigation and the expert opinion of the probation officer about this. However, probation officers should not take their status as expert witnesses in criminal courts for granted. Before they are allowed to act as expert witnesses in criminal courts, probation officers need to be declared as such by courts as well as meet certain other requirements. The development-based approach appears to be most appropriate for providing service in the field of child and youth care in South Mrica. Probation officers need to avoid subjectivity in the execution of their duties and they need to reject the earlier treatment-model. Developmental assessment is especially appropriate to the accumulation of facts about the social functioning of the juvenile offender.
