▼ Abstract Because of the globalization tendency and high information technology applied, the enterprises, pursuing their expanding, surviving, or reach the synergy, tend to adopt M&A strategy with the other firms, integrate all the resources and acquire the leading high technology or management systems in the rapid movements of the business environment. In recent years, the number and the scale of M&A events are boosting and increasing. More and more international enterprises conduct M&A strategy and change their market sharing and standing by doing so. No doubt, M&A has become the important main strategy of worldwide firms. In fact, mergers and acquisitions same as marriage ceremony, it's not so difficult to deal with transaction. But the key point is how to put two or more different firms together and work well. Unfortunately, during the traditional procedure of due diligence, it's only emphasized forms, price, values, finance, and lawful parts, but undervalued the importance of organizational culture, talents and human resources. M&A is so important to corporations in all categories that the key integrative elements, differ from different field of industry, should be focused with more attentions. The development of worldwide internet industry is one of the momentum to improve the globalization and happening of M&A. There are many M&A cases which concerning about internet firms meanwhile. As we know, portal sites play great roles in internet world, thatâs the reason why the shifting of the portal site leading status is too important to ignore. This study is aimed to base on few components of strategy highly involve in internet, and two of companies (Yahoo! and Kimo) were selected for case research sample. Through reviewing the theories of connecting field information and the interview of the high rank staffs of case company and others, we find out the procedure of merge between Yahoo! and Kimo are smooth due to the motives and bilateral benefits of both are high level matched. Yahoo! want to capture Taiwanâs most market share in short time in order to get the leading position of China, even the whole Asia , in the near future .Simultaneously, Kimo are seeking plenty of capitals form the world capital market. Also, Kimo try to concrete the portal site No.1 title in Taiwan and make more efforts to dance in the global stage. Both of them can give each other what they want easily, so Kimo become one part of Yahoo! Family smoothly. Finally, this study summarized their comments, and generated the suggestions of key factors of successful M&A for other study reference. ▼ Abstract There are three focal points in this experimental studyï¼(1)Change Reynolds number(Re) and measure the heat transfer coefficients on upperãbackãside and front surfaces of a chip for standard height(20mm)ï¼(2)Influences of the surface heat transfer coefficients when change the heights of a chip to 10mm and 30mm , then compare with the results of a chip with standard heightï¼(3)Compare the heat transfer effects of a chip on different positions of the testing region. The range of Re is 2000~10000 in this experiment and the chip sets are installed on the testing board with a 3x4 array. According to similarity principles to setup whole experimental modelsï¼assume this experimental system is a semi-infinite region and its heat transfer model is one dimensionï¼use the transient heat transfer method with thermochromic liquid crystal as the surface thermometer , then we assemble micro video cameras in the experimental system to obtain the color changing images on chip surfaces. The software , LCIA (Liquid Crystal Image Analysis) , is used to analysis the changed color and the temporal history of the surface temperatures to determine the local heat transfer coefficients on chip surfaces. ▼ The history of the development of the piano works for left-hand has spanned for more than one hundred and fifty years, and the piano concertos for left-hand, which made special historical significance in the concerts, were mostly written for one-arm pianist Paul Wittgenstein. The purpose of the thesis is the study of the stylistic features of one-movement piano concertos for one-hand, including Concerto pour la main gauche by Ravel, Parergon and Panathenaenzug by Richard Struass, and Diversions by Britten. The discussions contain the structure, form, orchestration, and performing technique. The contents of the thesis includes four chapters, in addition to the introduction. The first chapter discusses the general historical background for the creation of left-hand playing, and the development of the creation of the piano works for left hand. The second chapter is basic literature research for the piano concertos for left hand, and introduces the creative background to four piano concertos for left hand. The third chapter emphasizes the detailed analysis of the piano concertos for left hand of the selected works of Ravel, Richard Strauss and Britten. In the four left-hand piano concertos, Concerto pour la main gauche and the Parergon are designed in multi-sectional stracyure, the Panathenaenzug is planted for a symphonic studies in Passacaglia form and the Diversions is in a form of thematic variations in which each variation is characteristic in different title. In addition, composers frequently make use of the different instrumental colors of orchestra to replenish the lacks of rich acoustics of the piano playing, including accompaniment, support of harmony, momentum and dynamic of sounding expression. Richard Struassâs Panathenaenzug employs the glockenspiel and celesta to enrich the sounding expression. The difficulties of left-hand piano techniques are variable; Ravel use the different and difficult piano skills in his two candenzas, Richard Struassâs Panathenaenzug is also collected left-hand piano techniques in it, and Brittenâs Diversions is in different point of view that the composer employs the whole register of eighty-eight keys to makes this piano concerto sounding rich. ▼ This study utilized Cu-catalysts to catalyze a NO reduction reaction using CH4 as a reductant. Due to CH4 being a weak reductant and is easily affected by O2 concentration, we undertook a series experiments with O2 concentration and promoters, so that we could better understand their influence. The experiment conditions were as follows : reaction temperature between 150â- 800âï¼a catalysts weight of 0.5 gï¼ total gas flow rate of 1000 ml/minï¼relative humidity at 0.9 %ï¼an O2 concentration between 0 - 6%ï¼and CH4 concentration between 1000 - 10000 ppm. First, we sorted out the best metal carriers and calcining temperature, from this we decide to use Î³-Al2O3 as a carrier with a calcining temperature under 500âto produce our catalysts. During the O2 concentration experiment, when the inflow O2 concentration was below 1% (including 0% O2), Cu-catalysts reduce NO above 550â.The conversion reached a rate of 95 % at a temperature of 750âï¼when the oxygen concentration was between 3% and 6% O2, catalysts reacted within 300 - 500â with NO converting to NO2ï¼at a concentration between 1.5% and 2% O2, NOx underwent reduction at 750â,and NOx conversion raised from 0 % to above 90%. Therefore in analyzing the experiment results, it shows that NOx will reduce violently when the O2 concentration is below 0.7% and while using CH4 as a reductant. This result was also apparent in O2 concentrations between 1.5 % and 2%. In the experiments of M/O ratio (the ratio of CH4 and O2 inflow), we found M/O ratio was not a deciding factor within the reaction mechanics, furthermore the limiting factor of O2 concentration decreases under 0.7%ï¼in addition it was also found that adding large amounts of CH4 could quicken the reduction process. Lastly, a mass balance was performed, which had a result over 70 %. In the experiments where YãLaãSrãCo were added as promoters to the Cu-catalysts, we found that Cu-La/Î³-Al2O3ãCu-Sr/Î³-Al2O3 and Cu-Co/Î³-Al2O3 can accelerate O2 depletion. Henceforth, it is possible to deduce promoters will be a useful method in solving O2 limiting. In the comparison of metals loading methods, we found no difference in activity using separate-impregnation and co-impregnation methods, whereas in the BET and SEM co-impregnation experiments, there was a larger surface-area and dispersion. ▼ According to the empirical study, it is confirmed that physician satisfaction has great influence on patient satisfaction, and the physicianâpatient relationship could also affect health quality. The agreeableness and satisfaction of the healthcare providers (especially the physicians) to reimbursement system therefore should be emphasized especially with the intervention of health insurance. The objective of the study is to investigate the agreeableness and satisfaction of dentists to global budgets and their contributing factors. We survey dentists practiced within the Southern Branch and the Kao-Ping Branch regions of the National health insurance bureau with questionnaire. The primary result is as following: 1. The satisfaction of dentists to global budget after implementation: Male dentists are more satisfied than female detests. Dentists over 40 years old or with more than 15 years of practice experience are more satisfied. Solo practitioners are more satisfied than those who are employed or in partnership. Dentists practiced at Kaohsiung city have better stultification within the Kao-Ping Branch region; while the dentists, work in Jia-yi county are more satisfied than those at Tainan city within the Southern Branch region. Dentists with greater patient volume per day or longer business hours per week are less satisfied. Lastly, dentists whose service points claimed per month didnât decrease after the implementation of global budget are more satisfied with the system. 2. The agreeableness of dentists to global budget after implementation: Male, older dentists agree more with the reimbursement system. Dentists with more or equal service points claimed per month after implementation agree more with the global budget system. But those increase service hours per week are less agreeable to the system. Within the Kao-Ping Branch region, the dentists practice in Pun-hu county, are more agreeable than those at Kaohsiung city; those work in Jia-yi are more in agreement than those at Tainan within the Southern Branch region. Opened questionnaire indicated that surveyed dentists showed negative feedback on t the appropriateness, equity, and standardization of peer review. They further suggested the operation of dental association should be transparent, and the names of the dental clinics should be made known to the public if thereâs fraud. Besides, they also made some constructive suggestions such as the establishment of the public record of the oral cavity examination, periodic oral examination, and improvement of professional medical technology. Theses suggestions should be useful to the dental association for professional and quality improvement, standard protocol development and to the Bureau of the National Health Insurance for policy evaluation. ▼ Study on Service Quality of and Usersâ Satisfaction with Nursing Homes for the Aged â Old Peopleâs Apartments in Kaohsiung County Abstract Raising children as insurance against the insecurity of old age has been a deep-rooted concept of the Chinese people. Traditionally, care and nursing of the aged are mostly done in families. However, with the change of social and life styles, as well as the reduction of fertility rate, such kind of concept has been put to a severe test now. In the early stage, a nursing home was mainly the shelter for homeless, solitary and poor old people. The concept of social welfare still remains in the stage of providing relief. Therefore, the old people who lived in the nursing homes were labeled as poor. Besides, âthe standard, contents and methods of service provided by the nursing homes also make the general people to halt in hesitation.â In fact, in addition to physiological satisfaction, the aged will also pursue the psychological satisfaction, i.e., a living worthy of human dignity, at their old age. This is right the ultimate goal to promote the business of nursing homes. Owing to the increasing demand for care and nursing of the aged, the government also encourages the establishment of private nursing organizations for the aged. Hence, the fee-for-service private nursing organizations of âserviceâ nature emerge gradually, apart from the government-supported nursing organizations of âreliefâ nature. The old people who live in such an organization become âwelfare consumersâ. In Kaohsiung County, the old peopleâs apartments are run in a fee-for-service mode under the sponsorship of the government, but they have to be responsible for the profit and loss of the apartments by themselves. The purpose of this study is to know the service quality of nursing homes at present and the old peopleâs satisfaction with the service they received. (1) To understand the service quality of the nursing homes in order to provide a basis of their management for the government. (2) To understand the usersâ satisfaction with nursing homes in order to meet the demands of the aged. (3) To discuss the relationship between service quality of the nursing homes and the userâs satisfaction. ▼ Abstract It carries an important educational mission to set up the Open University of Kaohsiung. Such an epochal establishment also marks the advent of adult education in Taiwan. There have been many kinds of universities developed in the recent 10 years. Higher education in Taiwan, thus, becomes much more generalized and marketable. More and more public or private institutions have implemented programs for adult education. However, the development and the market of institutionalized adult education, such as National Open University and the extension education of accredited colleges and universities, plus non-accredited community universities are becoming more and more competitive. Besides, the Kaohsiung City Government has encountered financial problems and subsidiaries from the Central Government are less and less as well. All of these changes have caused that the rate of student recruitment of the Open University of Kaohsiung doesnât grow up as expected. Therefore, the development and management of the Open University of Kaohsiung needs to reasonably consider an alternative method to work with âauthorized management.â The purpose of the present study is to make up a practical pattern on authorized managements of the Open University of Kaohsiung. The financial support from the government is less and less, and it is becoming much difficult for many universities to develop and manage. In addition to strategic alliances and university merges, there are other practical ways for local governments and related institutions to develop and manage adult education program. This research finds that certain improvements must be done to develop and manage well for the Open University of Kaohsiung. Authorized management is feasible. First, the Open University of Kaohsiung itself should make sure that adult education and extension education are its management focuses. Secondly, at the same time, it should locate its target market and create its core competition capability. Specifically, there are some students who need academic credits and degrees to get professional licenses for their jobs. Other students expect to gain more professional knowledge on marketing, management, and Internet commerce. Furthermore, more and more students are eager to acquire more practical training on foreign languages. Currently, the original regulations of authorized management have been based on the Fundamental Education Law, and Law for Promotion of Civil Participation in Infrastructure Projects. However, there have been no exact and clear regulations or models for public universitiesâ authorized managements, at present. Thus, this study refers to the existing law and related regulations of authorized management above mentioned. Then, the researcher proposes a draft covenant of authorized management, tender instructions, and other related regulations for the Open University of Kaohsiung and expects to make them as references for other public universities. ▼ "Substitutes for leadership" is a new emerging leadership model of organizations within turbulent environments. Employee might minimize the "need for leadership" by "shared values", "self-managed work teams" and "cynicism". These substitutes would have further direct impacts on job outcomes as well. This study suggests that the higher the extent of shared values, self-managed work teams or cynicism, the lower the extent of the need for leadership. Also except cynicism, the higher the extent of shared values or self-managed work teams, the higher the extent of job outcomes. Data used were collected in two Kaohsiung companies, including an insurance agent and a semiconductor company. After statistic analyzes the results are stated as bellow: â . Differences of all variables due to characteristics of individuals. 1. The insurance agent: Employee are graduated from senior high schools have the higher extents of job outcomes than those are graduated from colleges. Sales have the higher extent of shared values, self-managed work teams and job outcomes, and the lower extent of cynicism than clerks. 2. The semiconductor company: No characteristics of individuals make a difference of variables. â¡. Relationships between substitutes and the need for leadership. 1. The insurance agent: The higher the extent of shared values the higher the extent of the need for leadership. The higher the extent of self-managed work teams the higher the extent of the need for leadership. The higher the extent of cynicism the higher the extent of the need for leadership. 2. The semiconductor company: The same as the above. â¢. Relationships between substitutes and job outcomes. 1. The insurance agent: The higher the extent of shared values, the higher the extent of job outcomes; the higher the extent of self-managed work teams, the higher the extent of job outcomes; the lower the extent of cynicism, the higher the extent of job outcomes. 2. The semiconductor company: The same as the above. The empirical results show that although the substitutes regression model can offer explanation of job outcomes, the higher extents of shared values and self-managed work teams do not lead to the lower extent of the need for leadership. The reason that hypotheses are not approved seems to be the sampling. The insurance agent is an organization of the tight leader-follower relationship; the subordinators of the newly established semiconductor company of course strongly depend on the experienced leaders. Or shared values and self-managed work teams would not be the substitutes for leadership in deed. Or leadership could not be replaced at all! ▼ BACKGROUNDï¼Work plays an important role in everyoneâs health and happiness. However, facing the rapidly changing medical environment, physicians feel even more stress than ever. PURPOSEï¼The purpose of this study was to find the current stressors among physicians who worked in hospitals in southern Taiwan, and to evaluate the correlations among demographics, type A behavior pattern(TABP) and the perception and approach-avoidance intention (AAI) of the stressors. METHOD: Structured questionnaires were mailed to physicians who worked in hospitals in Ping tong and Kaohsiung. Data were coded and analyzed with factor analyses, Ï2 test, Pearsonâs correlation, partial correlation, Student t test, ANOVA and multiple regression when appropriate. RESULTS: The effective response rate was 7.9% and there was no true difference between the samples and population in demographic characteristics. Six factors were extracted from stressors by factor analyses with the cumulative percentage of total variance explained around 64.7%. The overall Cronbachâs Î± was .917. The extent of stress perception and the AAI of the factors of stressors, namely âpatient management (PM)â, âinterpersonal relationship (IR)â, âwork load (WL)â, âmedical environment (ME)â, âorganizational structure (OS) and âresearch and teaching (RT)â, were used as dependent variables during comparisons between different demographic variables and TABP. The mean TABP score was 4.47, mean perceived stress was 3.13 and the mean AAI of the stressors was 3.5. The most stressful factor of stressors was PM and the least was IR. The AAI of the factor of the stressors revealed that RT was most likely to use approach as the coping strategy whereas the OS was the least. The correlation between the extent of the stress perception and AAI of the stressors varied. Significant correlation was found only in moderate stress zone. TABP significantly correlated to stress perception with Pearsonâs r = .227 ( P < .05 ). There was significant difference in overall stress perception on TABP and the position of the physicians. Physicians with TABP perceived more stress than Type B did. Residents were more likely to report their job as stressful than attending physicians did. However, the correlation between TABP and the AAI of the stressors (overall and all 6 factors) were not significant. The attribute of the hospital was the only factor that has the moderator effect on AAI of the stressors. Physicians who worked in public hospitals use approach as the coping strategy to the stressors more likely than physicians who worked in private hospitals did. The correlation between the stress perception and AAI to the factors of the stressors, and the moderator effect of physicians demographics and TABP on stress perception and AAI to the factors of the stressors will be discussed in detail in the text.
