A Dan?a do Cord?o do Africano foi trazida por negros num processo de imigra??o para o Alto Solim?es, onde ancoraram no porto principal, como antigamente era conhecida como aldeia Kambeba, a que deu origem ao munic?pio de S?o Paulo de Oliven?a, territ?rio pluri?tnico no qual vivem os grupos Kokama, Caixana, Ticuna e Kambeba, nas ?reas urbana e rural do munic?pio, a presen?a de moradores ind?genas reafirma a pluricidade ?tnica da regi?o. A Dan?a do Cord?o do Africano ? uma dan?a cadenciada de acordo com os ritmos dos tambores, de movimentos simples, fazem um formato de cord?o humano entrela?ados. Na hora da entrada, reverenciam os membros que tocam na banda. Cantam can??es feitas por eles mesmos. Confeccionam suas pr?prias vestimentas, entre elas as m?scaras que s?o feitas de tecido preto que real?am os l?bios grossos e avermelhados, fazendo refer?ncia ?s caracter?sticas f?sicas dos negros que passaram pelo S?o Paulo de Oliven?a. Minha proposta de pesquisa nasceu do interesse em compreender as rela??es das identidades ?tnicas que aparecem atrais da m?scara da dan?a. A pesquisa buscou mostras os agentes sociais inseridos no territ?rio onde ocorre da Dan?a do Cord?o do Africano, assim como descrever as redes de rela??es constru?das na manifesta??o, que est?o pr?ximo a tr?plice fronteira (Brasil, Col?mbia e Peru). Contudo a pesquisa me permitiu refletir mais sobre o segredo de identidade que s?o promovidos pelas m?scaras usadas em rituais ind?genas.

La danza africana del cord?n fue tra?da por los negros en un proceso de inmigraci?n a Alto Solim?es, donde anclaron en el puerto principal, como se conoc?a anteriormente como la aldea Kambeba, que dio origen al municipio de S?o Paulo de Olivenza, el territorio multi?tnico en el que viven. Grupos Kokama, Caixana, Ticuna y Kambeba, en las zonas urbanas y rurales del municipio, la presencia de residentes ind?genas reafirma la pluricidad ?tnica de la regi?n. El African Cord Dance es un baile de cadencia de acuerdo con los ritmos de los tambores, con movimientos simples, entrelazan una forma de cord?n humano. En el momento de la entrada, reverencian a los miembros que tocan en la banda. Cantan canciones hechas por ellos mismos. Hacen sus propias prendas, incluidas m?scaras hechas de tela negra que enfatizan los gruesos labios rojizos, haciendo referencia a las caracter?sticas f?sicas de los negros que pasaron por S?o Paulo de Oliven?a. Mi propuesta de investigaci?n naci? de un inter?s en comprender las relaciones de las identidades ?tnicas que aparecen detr?s de la m?scara de baile. La investigaci?n busc? mostrar los agentes sociales insertados en el territorio donde se lleva a cabo la Danza del Cord?n Africano, as? como describir las redes de relaciones construidas en la demostraci?n, que est?n cerca de la triple frontera (Brasil, Colombia y Per?). Sin embargo, la investigaci?n me permiti? reflexionar m?s sobre los secretos de identidad promovidos por las m?scaras utilizadas en los rituales ind?genas.

Izhodišče magistrske naloge je proučitev področja davčno nevtralne obravnave materialnega statusnega preoblikovanja fizičnih oseb, ki opravljajo dejavnost, v kapitalsko družbo. Fizične osebe, ki opravljajo dejavnost in so obravnavane v tej nalogi, so samostojni podjetnik (v nadaljevanju: podjetnik) in odvetnik, zdravnik ter zobozdravnik - zasebnik, kot kapitalska družba pa je obravnavana družba z omejeno odgovornostjo. Temeljna vprašanja v magistrski nalogi so, ali se lahko odvetnik, zdravnik in zobozdravnik, ki svoj poklic opravljajo v okviru organizirane dejavnosti (kot zasebniki), po trenutno veljavni zakonodaji materialno statusno preoblikujejo v kapitalsko družbo (tako imenovano odvetniško oziroma zdravniško družbo z omejeno odgovornostjo) in če, na kakšen način ter ali se jim lahko prizna davčna ugodnost v obliki davčne nevtralnosti. Obstoječa zakonodaja na to ne daje neposrednega odgovora, je pa nedvomno, da se davčna ugodnost v obliki davčne nevtralnosti, če so za to izpolnjeni vsi pogoji, ki jih določa davčna zakonodaja, prizna podjetniku, ki se skladno z določbami Zakona o gospodarskih družbah (ZGD-1) statusno preoblikuje v kapitalsko družbo (družbo z omejeno odgovornostjo). V prvem delu naloge je s statusno – pravnega, davčnega in računovodskega vidika predstavljena posamezna pravnoorganizacijska oblika ter narejena primerjava med njimi. V nadaljevanju je (prav tako) z vseh treh omenjenih vidikov predstavljeno in obravnavano statusno preoblikovanje podjetnika. V delu, ki obravnava davčni vidik preoblikovanja, je med drugim, zaradi deljenih mnenj v praksi, proučena tudi možnost davčno nevtralnega prenosa le dela podjetja podjetnika na kapitalsko družbo. V delu, ki obravnava računovodski vidik, je pozornost namenjena računovodskim vprašanjem, povezanim z: vrednotenjem podjetja podjetnika, podjetnikovim kapitalom, obračunskim dnem statusnega preoblikovanja podjetnika in vodenjem poslovnih knjig od tega dne pa do vpisa preoblikovanja v sodni register, saj obstoječi predpisi nanje ne dajejo neposrednega odgovora. V zadnjem delu naloge je na podlagi sprotnih, sklepnih ugotovitev in zaključkov pri posameznem poglavju odgovorjeno na temeljna vprašanja in na kratko predstavljen še davčni vidik materialnih statusnih preoblikovanj pravnih oseb (tj. združitev in delitev), prenosa premoženja in zamenjave kapitalskih deležev ter narejena primerjava z davčnim vidikom statusnega preoblikovanja podjetnika. Na tej osnovi so pripravljene zaključne ugotovitve in predlogi.

The aim of this thesis is the study of tax neutral aspect of the law on material status restructurings of a natural person performing business activities into a corporation. Natural persons performing business activities that are dealt with in this thesis are defined as an entrepreneur, a lawyer, a doctor and a dentist – owner. A corporation is referred in this thesis as a limited liability company. The main questions in this thesis are whether a lawyer, a doctor and a dentist that performs its job in the framework of an organized business…
