▼ In recent decades, the frequency of climate change induced weather shocks in tropical countries has increased. This has been manifested, for example, by the reduction in amounts of rainfall received and the shortening of rainfall seasons which threaten the food security and welfare of millions of households. These shocks greatly affect the agricultural production and welfare of smallholder farmers who are dependent on natural rains. Therefore, understanding farm householdsâ€™ responses to these shocks is crucial to aid the design of public climate change adaptation strategies. This thesis examines the effect of exposure to weather shocks on gender and intrahousehold dynamics in rural Uganda, a topic which is relatively under-explored in the literature on farmersâ€™ adjustment to shocks. This existent deficit within literature is largely due to the fact that, until recently, detailed data on the characteristics (including the gender) of plot or parcel managers was not widely available. The thesis is based on three closely linked empirical chapters on the subject. The first empirical chapter (Chapter Two) examines the effect of droughts on farmersâ€™ cropland share allocation to key crops, with a specific focus on gender. Counterintuitively, given the core message of much of the stylised literature which sees women as predominantly subsistence farmers, we find that exposure to extreme negative rainfall shocks induces women to allocate more land to commercialised food crops with the dual benefit of providing food and income. While the focus of the first empirical chapter is on the implications of ex-ante/potential shocks on crop choice adjustment, the second empirical chapter (Chapter Three) examines the effect of ex-post, postharvest crop loss shocks, on intrahousehold labour allocation across off-farm and on-farm activities between husbands and wives. While damage to food crops do not significantly affect labour reallocation, wives are found to increase their labour supply to off-farm jobs (particularly secondary off-farm employment and self-employment) in the event of losses to cash crops, which in a patriarchal society like Uganda is predominantly controlled by men. This result is consistent with our â€œadded worker effectâ€ hypothesis whereby the release of female labour from male plots and the need to substitute for lost income is among the most plausible mechanisms at work. The third empirical chapter (Chapter Four) examines the effects of exposure to negative rainfall shocks on childrenâ€™s school attendance. We find that exposure to negative rainfall shock reduces childrenâ€™s school attendance. These results are particularly strong for children in rural areas and also those attending primary schools. Interestingly, our results also show that the initial decline in childrenâ€™s school attendance is almost cancelled following prolonged lag after exposure to negative rainfall shocks. Our findings provide useful insights for designing policies to aid in climate change adaptation of rural agricultural households. Mestrado em Finanças

The main objective of this master thesis is to evaluate the impact of events/announcements in the market capitalization of companies involved and to test market efficiency. Acquisitions, mergers and divestures are strategies followed by companies in order to adjust to economic and political changes and explore opportunities to develop capabilities in new environments. In this study it is analyzed the impact of selling the stake held in Vivo by PT to Telefónica in the market capitalization of the both companies. Additionally it was applied the event study methodology suggested by Mackinlay et al. (1997). This methodology can be used to measure the impact of a specific event on the market capitalization of companies with the purpose to test market efficiency in capital markets. In this study were detected abnormal returns in every events in analysis, with special focus on event 2 and 3, that correspond respectively, to the day 1st June 2010 (day in which Telefónica launched the second offer in order to acquire Vivo, for the amount of €6.5 bn) and the day 30th June 2010 (day when the General Board Meeting occurred and the Portuguese government used the golden share in order to block the operation).

O principal objectivo desta tese de mestrado é avaliar o impacto dos eventos/anúncios na capitalização bolsista das empresas de forma a testar a eficiência dos mercados. As aquisições, fusões e desinvestimentos são estratégias levadas a cabo pelas empresas de forma a ajustarem-se ás mudanças económicas e políticas para assim desenvolverem novas capacidades que lhes permitam aproveitar as oportunidades que existem na envolvente. Neste estudo analisa-se o impacto que a venda da participação da PT na Vivo, á Telefónica, teve na capitalização bolsista de ambas as empresas. Adicionalmente, é também aplicada a metodologia do estudo de eventos sugerida por Mackinlay et al. (1997). Esta metodologia tem como objectivo medir o impacto de um evento/anúncio específico na capitalização bolsista das empresas, estando desta forma a testar a eficiência dos mercados de capitais. Neste estudo detectaram-se rentabilidades anómalas em todos os eventos em análise, com especial incidência no evento 2 e 3, que correspondem respectivamente, ao dia 1 de Junho de 2010 (dia em que a Telefónica lançou a segunda oferta com o objectivo de adquirir a participação detida pela PT na Vivo pelo montante de €6.5 bn) e ao dia 30 de Junho de 2010 (dia em que ocorreu a Assembleia Geral de Accionistas da PT em que foi usada a Golden Share por parte do Governo Português de forma a bloquear a operação).

Bakgrund: Utvecklingen av revisorsprofessionen kan härledas ända till 1895. En utveckling som grundas i professionalitet men som på senare år blivit allt mer kommersialiserad. Revisionsbyråernas ägare benämns som partners och likt andra organisationstyper har ägarna en stor påverkan på organisationen. Partners skiljer sig dock från många andra ägare i stora företag med sin aktiva närvaro i det dagliga arbetet. Positionen som partner innebär bl.a. makt, status och finansiella fördelar. Incitamenten med partnerskapet bör variera beroende på partnerandel, vilket kan tänkas leda till en dominans av antingen professionell eller kommersiell logik. Syfte: Studiens syfte är att undersöka om partnerandelen påverkar revisionskvalitén inom de fyra största revisionsbyråerna i Sverige. Metod: För att undersöka studiens syfte har en hypotes skapats utifrån agentteorin samt kommersiell och professionell logik. Studien utförs med hjälp av en tvärsnittsdesign och en deduktiv ansats. Studien har utförts på ett urval som består av de fyra största revisionsbyråerna i Sverige och deras klienter på Stockholmsbörsens tre största listor för år 2012 och 2018. Slutsatser: Studien kan från analys och diskussion komma till en slutsats att partnerandelen har en påverkan på revisionskvalitén. Med studien kan det utläsas att auktoriserade revisorer per partner har en positiv relation till revisionskvalitén

Background: The development of the auditor profession originates from 1895. However, the development that is based on professionalism has in recent years become increasingly commercialized. The audit firm’s owners are called partners and like other types of organizations, the owners have a big impact on the organization. However, partners differ from other owners with their presence in the daily business. The position as a partner comes with power, status and financial advantages, which may lead to a dominance of either professional or commercial logic. Purpose: The purpose of the study is to explore whether the partner share affects the quality of auditing within the four biggest audit firms in Sweden. Method: To fulfill the purpose of the study, a hypothesis has been formulated with agency theory and commercial and professional logics. This study uses a crosssectional design with a deductive approach. The selection of data includes the four biggest audit firms in Sweden and their clients on the three biggest lists in the Swedish stock market during 2012 and 2018. Conclusions: The study can conclude from analysis and discussion that the partner share has an impact on audit quality. The study shows that authorized auditors per partner have a positive relationship to audit quality

Den här uppsatsen undersöker hur svenska mans-och kvinnojourer konstruerar genus i relation till offer-och förövarroller när det kommer tillvåldi nära relationer. Detta har gjorts med en kvantitativ och kvalitativ innehållsanalys avderas respektive hemsidor.Materialet har bestått av åtta kvinnojourer och åtta mansjourers hemsidor, och anledningen till att det är åtta av varje är attdet inte finns fler mansjourer att utföra en analys på.Tvåfrågeställningar har legat till grund för uppsatsen: (1) Talas det huvudsakligen om kvinnan som utsatt och mannen som förövare på de svenska kvinno-och mansjourernas hemsidor? I så fall hur? (2) Råder det någon skillnad mellan hur kvinno-och mansjourerna konstruerar kvinnor och män som offer och förövare? I så fall på vilket sätt? Uppsatsen utgår vidare från debatten om asymmetri och symmetri, samt socialkonstruktivism, genus och det ideala offret. Resultatet pekar på att kvinno-och mansjourernaförhåller sig till enasymmetrisk linje, det vill säga mannen som den huvudsakliga våldsutövaren och kvinnan som det huvudsakliga offret. Kvinnojourerna vänder sig till kvinnor som fallit offer för det manliga våldet, och de framställer män och kvinnor som motsatser –den skyldiga och den oskyldiga. Mansjourerna var lite mer neutrala i sin framställning. De talade inte om relationen mellan offer och förövare utan de talade snarare om stöd till de våldsutövande männen. Män som utsatts för partnerrelaterat våld glöms bort.

This essay explores how Swedish men’s and women’s aidsconstructs gender in relation to victim-and offender roles when it comes to intimate partner violence. This has been done using botha quantitative andaqualitative content analysis ofsixteen Swedish men’s and women’s aids websites. The reason why there haveonlybeen eightwebsitesper aid is that therearen’t more men’s aids websites to perform an analysis on. Twoquestions havebeen the basis for the essay:(1) Do the aids primarily talk about the women as victims and the men asoffenders, and if that is the case –why?(2) Isthere a difference between how men’sand women’s aidsconstruct women and men as victims and offenders and if so, why?The essay is based on the debate about asymmetry and symmetry, as well as social constructionism, gender and the ideal victim. The results showthat the men’sand women’s aidsare assuming anasymmetric perspective, whichmeans that the man is primarily seen as the offender and the woman primarily as the victim.Women’s aidsare targetingwomen who havebeen victims of intimate partner violenceand they are constructing men and women as opposites –guilty andinnocent. Men’s aidswere more neutral in this regard. They didn’t focus onthe relationshipbetween the victim and the offender, but rather onsupport forthe men who useviolence against their partners. Men who are the victims of intimate partner violence are forgotten.

Prenos premoženja podjetja, ker podjetje v obstoječi obliki več ne more poslovati je lahko v določenih primerih neizogiben. Že načrtovano prenehanje opravljanja dejavnosti ob upokojitvi je povezano s številnimi problemi in odprtimi vprašanji, toliko bolj pa se dileme odpirajo v primeru prenehanja dejavnosti zaradi smrti davčnega zavezanca. Ob davčnih je potrebno upoštevati tudi ostale dejavnike – od družinskih, finančnih, delovnih kot tudi tehnoloških in organizacijskih. Sam prenos je potrebno izpeljati v zakonsko določenih časovnih okvirjih, ob upoštevanju zakonodaje iz različnih področij. Pri odločanju o tem, v kakšni pravnoorganizacijski obliki bodo dediči delovali, morajo ob svojih interesih in željah upoštevati tudi veljavno zakonodajo, ki predpisuje možne načine prenosa. V nalogi so analizirane zakonske možnosti prenosa podjetja samostojnega podjetnika in deleža družbenika osebne družbe na dediče predvsem z davčnega vidika. Država z davčnimi ukrepi ob zakonsko predpisanih pogojih omogoča davčno nevtralni prenos, vendar ob neizpolnjevanju pogojev nastopajo za zavezanca davčne posledice. V prvem delu naloge je opisana pravno ureditev, ki obravnava dedovanje tako v EU, kot v Sloveniji. V nadaljevanju so analizirani možni načini prenosa. Pri dedovanju podjetja samostojnega podjetnika so predstavljeni postopek in davčne posledice prenosa v primeru prenehanja, prenosu na drugo osebo in preoblikovanju. Pri osebnih družbah je predvsem zaradi povezanosti družbenikov osebne družbe nadaljnja usoda družbe odvisna od vsebine družbene pogodbe ob tem pa tudi pripravljenosti družbenikov, kot tudi dedičev. Od tega je odvisno, v kakšni obliki bo družba nadalje poslovala. V zaključnem delu naloge je opisana ureditev dedovanja podjetja samostojnih podjetnikov in deležev družbenikov osebnih družb v Nemčiji. Enotnega odgovora o tem, kako naj ravnajo dediči in v kakšni pravnoorganizacijski obliki naj nadaljujejo dejavnosti, če se za to odločijo, ni mogoče posredovati. Pri svoji odločitvi morajo dediči ob uveljavljanju svojih interesov in želja, ne glede na to, ali bodo dejavnost nadaljevali kot pravna oseba ali pa bo dejavnost nadaljeval samo en dedič, kot fizična oseba upoštevati vse zakonske in podzakonske predpise, saj lahko le tako planirajo tekoče kot tudi bodoče zakonske obveznosti, ki so posledica izbrane možnosti. Ob tem morajo upoštevati, da izplačila ostalim dedičem lahko vodijo do izčrpavanja podjetja in s tem do njegovega prenehanja.

▼ Shared micromobility has taken up US cities by storm over the past few years. Free-floating technology is the new age shared transportation innovation and has become widely popular amongst the younger-aged cohorts, giving users increased flexibility in terms of vehicle operation in comparison to the static station-based bike-sharing systems. This PR projects to find a better understanding of the three shared micromobility modes, thereby deducing whether the three modes are complementary or substitutive in nature. The research utilizes publicly available shared micromobility data from the City of Austin, to understand what the scenario exists in Austin, where all three micromobility modes are actively present. Applying temporal signatures, the research tries to identify whether variations occur for each type of shared micromobility mode across these attributes. It also applies hypothesis testing by employing methods like Analysis of Variances and Two- Sample T-Test of Means, to distinguish whether the three modes are statistically similar or dissimilar. Since the University of Texas at Austin is a significant entity for the city, the research tries to investigate whether students and staff are crucial target user groups based on spatial visualizations of trips. The analysis concludes that all three micromobility modes are complementary and not substitutive, the reason being that users utilize these modes to travel for different purposes, across the similar or dissimilar geography, i.e. usage is subjective and depends on user preference. The only commonality observed between the three modes is the similarity towards deviating from their original paths assuming to conduct secondary activities. Variation of usage is seen across all three modes, which suggests that temporal signatures have significant effects on the usage. Key locations like south Downtown, the University of Texas at Austin, and the West Campus serve as major traffic hubs for all three modes. From these results, city officials can hypothesize potential station locations based on traffic generation and attraction of the free-floating modes and also come into potential partnerships with private operators to better expand the existing station-based bike-share system. ▼ This study explored the relationship between participants’ approval of intimate partner aggression (IPA) and their experiences of IPA in heterosexual relationships. Male (n = 216) and female (n = 299) university students completed an online questionnaire that consisted of the Conflict Tactic Scale-2, the Controlling Behaviours Survey-revised, and the Beliefs about Relationship Aggression Scale. Bivariate analyses showed the majority of aggressive and controlling behaviours were perpetrated and experienced at similar rates between men and women. ANOVA found an interaction effect where both male and female participants held greater approval of female-to-male aggression, compared to male-to-female aggression, when provoked by physical, sexual, or psychological aggression, or infidelity. An interaction between participants’ gender and the aggressors’ gender in the vignettes showed men were significantly more approving of female aggression than women. ANOVA also demonstrated a main effect of perpetration status (aggressive/non-aggressive), where aggressive students approved of IPA more than non-aggressive students, regardless of the participant’s or the aggressor’s gender. These findings show that participants, especially male participants, hold chivalrous beliefs about IPA in heterosexual relationships. Although this chivalrous pattern also held for aggressive participants, aggressive men and women both displayed significantly higher approval of aggression by both male and female perpetrators than non-aggressive controls. Therefore, this study found perpetrators of IPA not only approve of aggression by their own gender significantly more than non-aggressors, but also tolerate aggression by the opposite gender more readily. The need for treatment to address beliefs that approve of IPA by both partners in heterosexual relationships, rather than gender specific beliefs, is discussed alongside other implications for practice and policy. Earnings per share (EPS) is considered as an important accounting indicator of risk, entity performance and corporate success. It is used to forecast potential growth in future share prices, because changes in EPS are often reflected in share price behaviour. The relationship between EPS and share prices can, ultimately, be attributed to the law of demand. Should investors analyse the EPS of a firm and find it satisfactory, the share of such an entity is acquired. This leads to an increase in the demand for this type of share and, consequently, in the share price. Companies listed on the Johannesburg Stock Exchange (JSE) are required to publish three different categories of EPS: basic, diluted and headline EPS. It has become apparent that there is no indication as to which category explains share price behaviour best. The study strived to answer the research question: Which category of EPS has the greatest effect, if any, on the share price behaviour of the top 40 JSE listed companies? No previous South African study has attempted to answer this question. The top 40 JSE listed companies were selected and the relationship between different categories of EPS and share prices was analysed empirically for the period 2005 to 2013. This study demonstrated that basic EPS correlated best with the changing behaviour of share prices of the top 40 companies. Furthermore, the study established that headline EPS proved to deliver lower correlation coefficients than other EPS categories. This study recommends that basic EPS should, ultimately, be considered by investors and business managers of the top 40 JSE listed companies. Headline EPS proved to be less useful; therefore, it can be posited that the measurement requirements of IAS 33 are sufficient in excluding headline EPS from its measurements. Limitations of the study included that the sample was limited to the top 40 JSE listed companies and that findings cannot be generalised. Furthermore, multicollinearity was present among independent variables, which eliminated the possibility of prediction modelling. Despite these limitations, the study was able to fulfil its primary objective by indicating that basic EPS and stock prices share the greatest interdependence.

Denna studie kom till för att vi såg en kunskapslucka av fenomenet våld i nära partnerrelationer hos ungdomar. Syftet var att undersöka hur professionella inom socialt arbete uppfattade ungdomars syn på våld i nära relation. Vid genomförandet av studien intervjuade vi sex personer som var yrkesverksamma inom socialt arbete med ungdomar och/eller våld i nära relation. Ett etiskt övervägande som gjordes innan intervjuerna genomfördes var att intervjua yrkesverksamma och inte ungdomar. Vi bedömde att risken för att en enskild ungdoms sekretess kunde påverkas mer negativt än en yrkesverksam person som kunde tala generellt om flera ungdomar. Vi har i studien använt oss av semistrukturerade intervjuer med hjälp av en intervjuguide. Intervjuguiden innehöll frågor som berörde fyra olika områden - professionell bakgrund och arbetsområde, ungdomar, våld i nära relation samt prevention. Intervjuerna skedde via Zoom. Vi valde att göra ett målstyrt urval som kombinerades med ett snöbollsurval. En del av de yrkesverksamma som tillfrågades upplevde att de inte arbetade inom området som vi ville studera och rekommenderade andra yrkesverksamma som de ansåg mer kunniga, vilket innebar att vårt urval delvis utgjorde ett snöbollsurval. Datamaterialet strukturerades in i olika teman: skillnader och likheter mellan ungdomars och vuxnas relationer, ungdomars spridda definition av våld, digitalt våld, våldsbenägenhet och könstillhörighet och efterreaktion av våldsutsatthet. Resultatet visade att ungdomars relationer bagatelliserades av vuxna samt att det fanns bristande kunskap om våld i unga parrelationer. Våld i unga personers relationer togs inte på lika stort allvar som våld i vuxna relationer, dels på grund av att unga relationer ansågs vara för korta för att tas på allvar, och dels för att digitalt våld var svårt för vuxna att definiera som våld samt att ungdomar talade om sexuellt våld i liten omfattning. Ungdomar kan dock identifiera fysiskt våld och förstår dess innebörd. Vidare är vår slutsats att det inte alltid var uppenbart för ungdomar när en relation var destruktiv eller när ett våldsbrott har skett. I respondenternas svar såg vi att vuxna generellt kan ha bristande kompetens om våld i unga partnerrelationer.

This study was created because we saw a knowledge gap of the phenomenon of violence in close partner relationships in young people. The purpose was to investigate how professionals in social work perceived young people's views of violence in close relationships. When conducting the study, we interviewed six people who were professionals in social work with young people and / or violence in close relationships. An ethical consideration made before the interviews were conducted was to interview professionals and not young people. Föreliggande studie har undersökt hur uppfattningar om allvarlighetsgraden av partnervåld skilde sig mellan manliga och kvinnliga studenter. Vidare undersökte studien hur våldsutövarens kön och studentens självkänsla kunde skilja studenters uppfattningar om allvarlighetsgraden av partnervåld. Studien bestod av en enkät innehållande en vinjett och frågor utifrån mätskalorna ’Opinions of Domestic Violence Scale’ samt ’Rosenberg’s Self-Esteem Scale’. Studiens urval bestod av 246 universitetsstudenter mellan åldrarna 18 och 42 (M = 23.4, SD = 4.0) från en mellanstor stad i Sverige. Totalt deltog 139 kvinnor och 107 män. Studiens resultat visade att manliga och kvinnliga studenters uppfattningar om allvarlighetsgraden av partnervåld skilde sig åt, där de manliga studenterna uppfattade partnervåld mindre allvarligt än kvinnliga. Samtidigt uppfattade både män och kvinnor att våldet var allvarligare när våldsutövaren var en man och den utsatta en kvinna. Studentens självkänsla kunde inte skilja studenters uppfattningar om allvarlighetsgraden av partnervåld utifrån studentens kön. Resultaten diskuterades med hjälp av tidigare forskning och teorin om det sociala könet. Slutsatsen som kunde dras utifrån föreliggande studies resultat var att manliga studenter uppfattar partnervåld mindre allvarligt än kvinnliga, men både kvinnor och män uppfattade partnervåld mer allvarligt när våldsutövaren var en man och den utsatta en kvinna.

The present study investigated how perceptions of the severity ofintimate partner violence [IPV] differed between male and female students. Furthermore this study also examined if the students’ perceptions of the severity of IPV depended on the sex of the perpetrator and the student´s self-esteem. The study consisted of asurvey containing a vignette and questions based on the measurement scales ‘Opinions of Domestic Violence Scale’ and ‘Rosenberg’s Self-Esteem Scale’. The study sample consisted of 246 university students between the ages of 18 and 42 (M = 23.4, SD = 4.0) from a mediumsized city in Sweden. A total of 139 females and 107 males participated.The study´s results showed that male and female students’ perceptions of the severity of IPV differed, with male students perceiving IPV as less severe than female students. At the same time, both males and females perceived that the violence was more severe when the perpetrator was a male and the victim a female. We found no significant interaction effect between student´s self-esteem and student´s sex related to the perceived severity of IPV. The results were discussed using previous research and the theory of ‘social gender’. The conclusion that could be drawn from the results of the present study was that male students perceived IPV less severely than female students, but both males and females perceived IPV more severely when the perpetrator of violence was a male and the victim was a female.

Sklep skupščine o povečanju osnovnega kapitala je lahko izpodbojen na podlagi splošnih izpodbojnih razlogov, ki izhajajo iz 395. člena ZGD-1 ter 243. paragrafa AktG. Poleg tega pa ZGD-1 v 400. členu, po zgledu 255. paragrafa nemškega AktG določa še poseben izpodbojni razlog, v skladu s katerim se lahko sklep skupščine o povečanju osnovnega kapitala (v katerem je bila izključena prednostna pravica obstoječih delničarjev do pridobitve novo-izdanih delnic) izpodbija tudi zaradi tega, ker je bil emisijski znesek ali najnižji znesek pod katerim se delnice ne smejo izdati v izpodbijanem sklepu določen prenizko. V tem magistrskem delu so najprej predstavljeni splošni izpodbojni razlogi, pri čemer se analiza zaradi podobnosti ureditev opira tudi na spoznanja nemške pravne teorije in sodne prakse. V nadaljevanju je nato natančno predstavljen poseben izpodbojni razlog iz 400. člena ZGD-1 oziroma 255. paragrafa AktG, pri čemer je še posebej opozorjeno na razlikovanje med izpodbijanjem sklepa na podlagi navedene določbe ter izpodbijanjem sklepa zaradi nepravilno izpeljane pravne iztisnitve delničarjev iz družbe. Poleg tega so za namene celovite analize obravnavane tematike analizirana tudi postopkovna pravila izpodbijanja skupščinskih sklepov ter pravila, ki se nanašajo na izpodbijanje sklepa o povečanju osnovnega kapitala v družbi z omejeno odgovornostjo.

General meeting`s resolution on the increase of the share capital can be contested on the grounds of general contestable reasons, which derive from article 395 ZGD-1 and paragraph 243 AktG. In addition, ZGD-1, following the example of paragraph 255 AktG, in article 400 determines also a special contestable reason, in accordance with which the aforementioned resolution (in which the pre-emptive right of existing shareholders is excluded) can be contested also due to the fact that the issue price of newly issued shares has been set too low. This thesis firstly describes general contestable reasons. Due to the similarities between Slovenian and German company law, the analysis is based also on findings of German case law and legal theory. Later on, special contestable reason from article 400 ZGD-1 and paragraph 255 AktG is thoroughly analyzed, whereby special attention is given to the differences between contesting the general meeting`s resolution on the grounds of aforementioned provisions and contesting the general meeting`s resolution due to the unlawfully carried out legal squeeze out of the shareholders. For the purposes of comprehensiveness, this thesis analyses also procedural rules in regards to the contesting of the general meeting`s resolution and rules governing the contesting of resolution on the increase of the registered capital in the limited liability company.

Zmanjšanje osnovnega kapitala z umikom delnic predstavlja poleg rednega in poenostavljenega zmanjšanja samostojen način zmanjšanja osnovnega kapitala delniške družbe. Posebnost tega načina je v specifični korporacijskopravni operaciji – umiku delnic, ki pomeni razveljavitev korporacijskih (članskih) pravic iz umaknjenih delnic. Ločevati je treba dve osnovni modaliteti umika delnic – umik pridobljenih lastnih delnic in prisilni umik delnic. Ureditev zmanjšanja osnovnega kapitala z umikom delnic v slovenskem pravnem redu (ZGD-1) je v celoti harmonizirana z usmeritvami iz Direktive 2012/30/EU ter se v pretežnem delu oslanja na rešitve nemške pravne ureditve (AktG). Gre za strokovno zelo zahtevno proceduro, v katero so vtkane stroge formalne in materialnopravne predpostavke. Te so zlasti odraz težnje po varovanju pravno priznanih interesov dveh poglavitnih interesnih skupin – delničarjev in upnikov. Interesi teh deležnikov so namreč pri umiku delnic najbolj na preizkušnji. Analiza postopkov zmanjšanja osnovnega kapitala z umikom delnic v slovenski pravni ureditvi, s posebnim poudarkom na preučitvi varstva delničarjev in upnikov, je predmet te magistrske naloge.

Share capital reduction by withdrawal of shares represents an independent mode of joint-stock company's share capital reduction, besides the regular and simplified mode. The particularity of this mode is a specific corporate law operation – withdrawal of shares, which leads to a cancellation of corporate (membership) rights from withdrawn shares. A distinction has to be made between two fundamental modalities of shares' withdrawal – withdrawal of acquired own shares and forced withdrawal of shares. The regulation of share capital reduction by withdrawal of shares in Slovenian legal system (Companies Act – ZGD-1) is entirely harmonised with the guidelines of Directive 2012/30/EU and predominantly leans on solutions of German legal system (AktG). The word is about highly expert procedure, bound to strict formal and material suppositions. This is so due to a tendency to protect legally acknowledged interests of two main interest groups – the shareholders and the creditors. Their interests are namely very much put to the test, when it comes to withdrawal of shares. The analysis of procedures of share capital reduction by withdrawal of shares in Slovenian legal system, with a special emphasis given to the study of creditors' and shareholders' protection, is a subject matter of this master thesis.

▼ This dissertation contains three essays on the structure of hedge funds and the behavior of hedge fund managers and investors. In the first, I study the dynamics of changes in the leverage choices made by hedge fund managers and the implications for investors. Using SEC and commercial hedge fund database information, I examine the time-series and cross section of hedge fund leverage and find that, overall, hedge fund leverage changes are not driven by certain return-driven motivations, such as levering up before profitable times or in order to take advantage of concentrated investment opportunities. Instead, hedge fund leverage changes are driven primarily by risk mitigation measures, which may be imposed by external actors, such as prime brokers. Hedge funds lever down during volatile times and when risk spreads are high. Interestingly, when hedge fund leverage is perturbed by fund flows, I find no evidence that managers trade to return to a target leverage within four quarters. Thus overall hedge fund leverage may be the result of the fund’s flow history, rather than predetermined leverage targets. In the second study, I examine hedge fund inceptions. New hedge funds may come into being because managers observe high demand for certain types of funds and create them to absorb this demand, or alternatively as a result of an innovative investment idea. I create empirical proxies that allow me to distinguish the two types of inceptions and show that funds that came about because of the supply of managerial investment from those that came about because of investor demand. Inceptions of the former type outperform those of the latter by a significant 4 to 5% annually over the first five years. In my third study, I use a special environment, a platform of hedge fund separate accounts, as a laboratory to examine the role of share restrictions and third-party evaluation in hedge fund returns. Separate accounts are tied to existing funds but have much lower share restrictions and feature third-party return evaluation. By comparing separate account and main fund returns for the same funds, I find that a reduction in share restrictions leads to a performance penalty of 1.7% per year. Also, the high liquidity and third party evaluation leads to reported returns that feature 33% less serial correlation. This latter result suggests that managers in the main fund use discretion in reporting practices to induce serial correlation in the reported returns of their main fund, which would lead to artificially good performance in risk-adjusted evaluation metrics for those funds. Changes in customer expectation have driven the changes in the technology of design and manufacturing, which is becoming more important in satisfying individual customer expectations. This also calls for special attention to the engineering aspects of quality. This paper tried to apply Taguchi’s method of quality engineering for optimum setting of process parameters for the plastic production so that variation of performance from target value could be minimized. Ethiopia Plastic Share Company (EPSC) was used as a case company to show the application of Taguchi’s methods (design of experiment) together with loss function. Specifically, the thesis is designed to develop Taguchi’s method of designed experiment to alleviate process design problems of some of EPSC products. The quality loss for the current performance variation was estimated using Taguchi’s principle of loss function and requirement for improvement was proven. For the improvement purpose design of experiment was applied to optimize the process parameters (which is considered to be the main causes for performance variation of products) of a four selected products. The products were selected from conduit, wires and cables and poly products. Temperature zones were considered as process parameters for the products and they have three to seven zones of temperature settings. And the levels allocated for these temperature zones were two levels for poly product and four levels for others. Orthogonal arrays used in this optimization process were L8, L16, and L27 for the products. The result of the experiment was analyzed using commercial Minitab 15 software. Depending on the analysis of results, interpretation was made and optimized factor settings were chosen. Using the factors being chosen the performance value was predicted and based on the predicted values of the performances of the products; loss function is calculated and compared with the quality loss before implementation of design of experiment (Taguchi’s method). From this it was understood that, using Taguchi’s method of design of experiment improves the quality loss because of performance deviation (scrap inclusive) by about 89.95% for the selected products of the company.
