Abstract Because of the globalization tendency and high information technology applied, the enterprises, pursuing their expanding, surviving, or reach the synergy, tend to adopt M&A strategy with the other firms, integrate all the resources and acquire the leading high technology or management systems in the rapid movements of the business environment. In recent years, the number and the scale of M&A events are boosting and increasing. More and more international enterprises conduct M&A strategy and change their market sharing and standing by doing so. No doubt, M&A has become the important main strategy of worldwide firms. In fact, mergers and acquisitions same as marriage ceremony, it's not so difficult to deal with transaction. But the key point is how to put two or more different firms together and work well. Unfortunately, during the traditional procedure of due diligence, it's only emphasized forms, price, values, finance, and lawful parts, but undervalued the importance of organizational culture, talents and human resources. M&A is so important to corporations in all categories that the key integrative elements, differ from different field of industry, should be focused with more attentions. The development of worldwide internet industry is one of the momentum to improve the globalization and happening of M&A. There are many M&A cases which concerning about internet firms meanwhile. As we know, portal sites play great roles in internet world, thatâs the reason why the shifting of the portal site leading status is too important to ignore. This study is aimed to base on few components of strategy highly involve in internet, and two of companies (Yahoo! and Kimo) were selected for case research sample. Through reviewing the theories of connecting field information and the interview of the high rank staffs of case company and others, we find out the procedure of merge between Yahoo! and Kimo are smooth due to the motives and bilateral benefits of both are high level matched. Yahoo! want to capture Taiwanâs most market share in short time in order to get the leading position of China, even the whole Asia , in the near future .Simultaneously, Kimo are seeking plenty of capitals form the world capital market. Also, Kimo try to concrete the portal site No.1 title in Taiwan and make more efforts to dance in the global stage. Both of them can give each other what they want easily, so Kimo become one part of Yahoo! Family smoothly. Finally, this study summarized their comments, and generated the suggestions of key factors of successful M&A for other study reference. 2. Chang, Chia-Ling. The Research of Mainland China Long-distance Educational development – The Shanghai Distance Education Group.

Abstract The Chinese government has fulfilled the policy of ârevolution openingâ since 1979, and it has taken âoutside economyâ and âregion inclineâ course to fulfill the programming development with âsouthern, middle, and westernâ three-route region. The Chinese government has given the programming development to keep the initiative in its own hands to attract foreign capital, technology, and enterprise management experiences. Such a development has made Chinese economy grow up rapidly, and set up a political economic environment of socialism which has been filled with Chinese characteristics. The Chinese government has carried out the policy of âthe ninth five-year national development program prospect goal suggestionâ in 1996. The policy indicates that Shanghai is the nuclear window which can be the connection between China and the world and plans to build Shanghai to be the center of international economy, trade, finance and shipping. Thus, Shanghai has started a diversely development that can attract international enterprisesâ investment largely. In the demand of market institution, the process of being developed has faced a serious problem that is a lack of enough enterprise management elites. Education funds and resources, total amounts of high colleges and equipments have shown up the imbalance of the Chinese government. In order to achieve the goal of training professional elites, the Chinese government takes âbuilding nation with technology educationâ as a main policy and âdistance educationâ as a main artifice, and uses communication channel as network and television to train enterprise management elites of âfast, effort-saving, excellent, and few amountâ to make development of human resource in China, which can grow up with Chinese economy at the same time. âShanghai long-distance education groupâ belongs to Shanghai City Government. It is the first long-distance institute allowed by China National Council to set up with grouping. It expands Chinese education resources, merges Shanghai Television University, Shanghai Education TV Company, Shanghai Electric Education Institute, Shanghai Television Secondary Training School, and Shanghai Calculator Assessment Application Office to set up the large information platform, and uses the entire development of Shin-shi Harbor in Shanghai City to provide with the service of elites-training in all kinds of fields, and improve the competitive ability of internationalization after participating in WTO by the way. The thesis takes qualitative research of âgrounded theoryâ to combine with document probe, personal participation, deep interview, and induces the practical development situation of prospect, mission, goal, and strategy of research objects with âopen codingâ, âaxial codingâ, and âselective codingâ.
